Confidentiality

CDA (Confidentiality Disclosure Agreement)

Protects trade secrets and proprietary business information. 5-year term with perpetual protection for core IP. Used for partnership evaluations, investor meetings, and strategic discussions.

CONFIDENTIALITY DISCLOSURE AGREEMENT (CDA)

THIS AGREEMENT is entered into as of [DATE] between Big Red NOLA Publishing, LLC ("Company") and [PARTNER NAME] ("Recipient").

1. DEFINITION OF CONFIDENTIAL INFORMATION
   "Confidential Information" means any non-public information disclosed by Company to Recipient, including but not limited to:
   - Music publishing catalogs, compositions, and licensing terms
   - Artist databases and contact information
   - Business models and revenue projections
   - Technical infrastructure and platform architecture
   - Financial information and pricing structures
   - Marketing strategies and partnerships in development
   - Any other information marked as "Confidential" or reasonably understood as such

2. PERMITTED USE
   Recipient may use Confidential Information solely for evaluating potential partnership or business relationship with Company. Recipient shall not use Confidential Information for any competitive or commercial purpose without prior written consent.

3. PROTECTION OBLIGATIONS
   Recipient agrees to:
   - Protect Confidential Information using same degree of care as its own confidential information (not less than reasonable care)
   - Limit access to Confidential Information to employees/agents with legitimate business need-to-know
   - Not disclose Confidential Information to third parties without prior written consent
   - Return or destroy all Confidential Information upon request or termination of discussions

4. EXCLUDED INFORMATION
   Confidential Information does not include information that:
   - Was publicly available before disclosure
   - Becomes publicly available through no breach of this Agreement
   - Was independently developed without use of Confidential Information
   - Is rightfully received from a third party without confidentiality obligations

5. TERM
   This Agreement shall remain in effect for five (5) years from the date of disclosure, with perpetual protection for Company's core intellectual property (music catalogs, business models, artist relationships).

6. REMEDIES
   Recipient acknowledges that breach may cause irreparable harm. Company shall be entitled to seek injunctive relief, specific performance, and monetary damages.

7. NO LICENSE OR OBLIGATION
   This Agreement does not grant any license or right to Company's intellectual property. It does not obligate Company to enter into any transaction or agreement.

8. GOVERNING LAW
   This Agreement shall be governed by and construed in accordance with the laws of [STATE], without regard to conflicts of law principles.
